Connexion™ has reasonable grounds to suspect that such information is

register and subscribe with RFP Connexion™ you will select a Username and
Password. You are responsible for
maintaining the confidentiality of the Password and Username, and you are
responsible for all activities that occur under Your Password and Username. You
agree to (a) immediately notify RFP Connexion™ of any unauthorized use of Your
Username and Password, and (b) ensure that you exit from your RFPCONNEXION.com
session at the end of each visit.
By use of this site,
you agree to: (a) be financially responsible for your use of RFP Connexion™ and
purchase of services; (b) abide by RFP Connexion™ s guidelines on posting RFP's,
RFI's, and submitting proposals on projects, which may be updated from time to
time; and (c) perform your obligations and complete the transaction as
specified by the terms of any agreement you may enter into via the RFP
Connexion™ web site.
As a user, you are
responsible for your own communications and are responsible for the
consequences of your postings. You must not, and by using the RFP Connexion™
web site, you agree not to, do the following things: post material that is
copyrighted, unless you are the copyright owner or have the permission of the
copyright owner to post it; post material that reveals trade secrets, unless
you own them or have the permission of the owner; post material that infringes
on any other intellectual property rights of others, or on the privacy or
publicity rights of others; post material that is obscene, defamatory,
threatening, harassing, abusive, hateful, or embarrassing to another user or
any other person or entity; post a sexually-explicit image or statement; post
advertisements or solicitations of business beyond the uses authorized to our
subscribers via our Subscription Agreement; post chain letters or pyramid
schemes; impersonate another person; or post material that contains viruses,
Trojan horses, worms, time bombs, cancelbots or other computer programs, programming
routines, or engines that are intended to damage, detrimentally interfere with,
surreptitiously intercept or expropriate any system, data or information.
RFP Connexion™ acts
as a passive conduit for the online distribution and publication of
user-submitted information and has no obligation to screen communications or
information in advance and is not responsible for screening or monitoring
material posted by users. If
notified by a user of communications which allegedly do not conform to these
Terms of Use, RFP Connexion™ may investigate the allegation and determine in
good faith and its sole discretion whether to remove or request the removal of
the communication. RFP Connexion™
has no liability or responsibility to users for performance or nonperformance
of such activities. RFP Connexion™
reserves the right to expel users and prevent their further access to the web
site for violating the Terms of Use or the law and the right to remove
communications which are abusive, illegal, or disruptive.
RFP Connexion™ may take any action with respect to user-submitted information that it deems
necessary or appropriate in its sole discretion if it believes it may create
liability for RFP Connexion™ or may cause RFP Connexion™ to lose (in whole or
in part) the services of its hosts, Internet Service Providers, or other
suppliers.
Similarly, RFP
Connexion™ has no control over the truth, accuracy, quality, legality, or
safety of postings made by users. Because
verifying the identity of a user on the Internet is difficult, RFP Connexion™
cannot, and does not, confirm the identity of users. RFP
Connexion™ also does not confirm nor verify the qualifications, background, or
abilities of users. Therefore, RFP
Connexion™ recommends that you be careful and exercise common sense and good
judgment when dealing with any user on the site.
RFP Connexion™ does not guarantee leads or projects.
Only registered
Solution Providers and registered Business Clients, who have subscribed to the
RFP Connexion™ service, are authorized to view and access the subscription-based
information available through RFP Connexion™ Except as provided in the next sentence,
if you have not formally subscribed to the RFP Connexion™ service, you may
neither view nor access information available through the RFP Connexion™
system. If you have not yet
subscribed, but have been provided with a link to an RFP-associated Questions
& Clarifications page from an RFP Connexion™ registered Business Client, you
may view the linked Questions & Clarifications page, subject to your
compliance with the remaining Terms of Use of this Web Site. The information provided through RFP Connexion™ is for subscription-based use, limited to acts in tendering and
responding to proposal-based opportunities. Any violation of this policy will result
in immediate termination of your subscription, without a refund for the
remaining term of your subscription, and may result in legal
action.
You agree not to
engage in any action or activities meant to circumvent our site or our stated
fees.
Prohibited systems or techniques include (but are not limited to) the following: services
offered directly to the buyer and not through RFP Connexion™ distribution of
username and password to other organizations, companies, or individuals to
circumvent the registration and subscription to the service; and/ or using the
service to identify Business Clients or Solutions Providers for solicitation
purposes outside the realm of RFP Connexion™
Without limiting RFP
Connexion™ s other remedies, we may issue a warning, temporarily suspend,
indefinitely suspend or terminate your membership and refuse to provide any
services to you: (a) if you breach any terms and conditions of this Terms of
Use Agreement or the agreements incorporated herein by reference, including our
written policies and procedures posted on the site; (b) if we are unable to
verify or authenticate any information you provide to us; or (c) if we believe
that your actions may cause legal liability for you, our users or for RFP
Connexion™ Once temporarily suspended, indefinitely suspended or terminated,
you may not continue to use the RFP Connexion™ service under the same account,
a different account, or reregister under a new account.
Violations of this Terms of Use Agreement will be prosecuted to the fullest extent of the
law and may result in additional penalties and sanctions, as defined below.
To the extent that
any user engages in actions or activities which circumvent the RFP Connexion™
site or otherwise reduces transaction fees owed RFP Connexion™ under our
Subscription Agreement, that user shall be liable to us for (i.) our full fees
due for the project(s) circumvented, as described under "Fees charged by RFP
Connexion™”; plus, (ii.) our full fees for any follow-on work, additional work,
and/or the opening of such additional RFP Connexion™ subscriptions and/or
accounts, as may be reasonably anticipated based upon projects of similar scope
to those circumvented; plus, (iii.) any profits you derive from the
circumvention of the RFP Connexion™ system, or from your use of information
available through the RFP Connexion™ system; plus, (iv.) liquidated damages of
up to two hundred percent (200%) of the fee(s) chargeable under (i.), (ii.),
and (iii.) to a registered
Solution Provider and/ or registered Business
Client, as applicable,
for each and all projects circumvented, at RFP Connexion's sole discretion. The
user may be subject to additional and further sanctions, including immediate
suspension or termination of RFP Connexion™ membership. You
expressly agree that the liquidated damages specified herein are reasonable in
amount, are intended to compensate us for our loss of goodwill, loss of
favorable publicity, loss of follow-on subscriptions, and other reasonable
actual and consequential damages attendant your violation of this Terms of Use
Agreement, and are not to be interpreted as a penalty. We
expressly reserve the right to institute additional sanctions and fees for
repeated violations of the Terms of Use Agreement and/or our written policies
and procedures posted on the site.
Registered Business
Clients hereby warrant that the information posted in any RFP is valid and
accurate to the best of your knowledge.
Registered Solution Providers responding to a posted RFP hereby warrant
that information contained within your proposal is valid and accurate to the
best of your knowledge.
RFP Connexion™ is
not liable for any inaccuracies in the posting of information to the site,
regardless of whether such information is from a Business Client or a Solution
Provider. You hereby warrant and
acknowledge your understanding that RFP Connexion™ plays no role in the
selection of Solution Providers, nor does RFP Connexion™ play any role in
helping a Business Client determine what RFP's to post, nor the structure in
which an RFP may be posted.
RFP Connexion™ is
not liable for a Solution Providers missing the submission of a proposal,
whether due to the system, site, or server being down, out of service,
inaccessible, or otherwise unavailable, whether by act of God, or by act or
omission of man. Under such
circumstances, it is the Solution Providers responsibility to contact the
Business Client directly and request an extension or to respond back directly to
the Business Client.
Your use of the
Service is subject to all applicable local, state, national and international
laws and regulations. You agree to
comply with applicable
United
States
export laws and regulations regarding the transmission of technical data
exported from the
United States
through the service; and, to comply with all regulations, policies and
procedures of networks connected to the service. The service makes use of the
Internet to send and receive certain messages; therefore, your conduct is
subject to Internet regulations, policies and procedures.
You further agree not
to: (1) use the service in connection with chain letters, junk mail, surveys,
contests, pyramid schemes, or any use of distribution lists to any person who
has not given specific permission to be included in such a process (commercial
or otherwise); (2) harvest or otherwise collect information about others,
including e-mail addresses, without their consent; (3) use, download or
otherwise copy, or provide (whether or not for a fee) to a person or entity
that is not a user of the service any directory of RFP Connexion's users or
other user or usage information or any portion thereof other than in the
context of your use of the service as permitted hereunder; (4) knowingly
interfere with or disrupt networks connected to the service or violate the
regulations, policies or procedures of such networks; (5) attempt to gain
unauthorized access to the service, other accounts, computer systems or
networks connected to the service, through password mining or any other means;
(6) violate any applicable law or regulation; (7) tamper
with postings of other users; (8) post logos, seals or slogans from third
parties on any part of the site; (9) do anything which would create or impose an
unreasonable or disproportionately large burden or load on the site; (10) frame,
link, or deep-link to the site, except as permitted in writing by RFP Connexion™ ; (11) impersonate or misrepresent your
affiliation with any person or entity; (12) post false or misleading information
about a product, service or service request; (13) post or transmit any content
that infringes a third party's intellectual property rights or rights of
publicity or privacy; (14) post or transmit any content that is unlawful,
untrue, fraudulent, harassing, libelous, defamatory, abusive, tortuous,
threatening, pornographic, harmful (including but not limited to viruses,
corrupted files, or any other similar software or programs), overly disparaging
or deprecating of RFP Connexion™ or other users or
otherwise objectionable; (15) violate any other policies stated on the site;
(16) repeat any action after you receive warning or request to desist from
RFP Connexion™ , whether or not that action is
explicitly stated in policies (this includes continuing to use the RFP
Connexion™ service under the same account, a
different account or reregistering under a new account after your membership
has been temporarily suspended, indefinitely suspended or terminated); or, (17)
fail to respond to an email from RFP Connexion™
regarding violation, dispute or
complaint.
Upon
notice to any user, RFP Connexion™ may, at its sole discretion, take any
reasonable action RFP Connexion™ deems necessary, if RFP Connexion™ reasonably
believes a users conduct fails to conform with these terms and conditions, our
Subscription Agreement, or Privacy Policy, or may otherwise create liability
for RFP Connexion™ its partners, its suppliers, or other users. We
will notify you if we cancel your membership, unless in our judgment giving
notice would cause a risk of further violation or damages.
No refunds will be given if RFP Connexion™ terminates or cancels your membership for
cause. Additionally, if your
membership is terminated or canceled for cause, you may no longer have access
to data, messages, files and other material you keep on the site. The
material may be inactivated and archived, or deleted, at our sole discretion,
along with all your previous posts and bids. If
RFP Connexion™ terminates your account or use based upon your breach of any
portion of the Terms of Use Agreement, our Subscription Agreement, or Privacy
Policy, RFP Connexion™ reserves the right to refuse to provide registration
and/or membership to you in the future.
In
order to operate the site, RFP Connexion™ must have certain rights. Consequently,
when you post information, text, files, links, attachments, software or other
materials to publicly visible areas of the site, you are granting or warranting
that the owner of such content has expressly granted a worldwide, royalty-free,
